These terms govern your use of Expensent, an automated invoice forwarding service.
1. Service Description
Expensent ("we," "our," or "the Service") is an automated invoice forwarding service that:
- Connects to your email inbox via secure OAuth authentication through Nylas, our email API provider
- Identifies invoice and receipt emails using a three-phase approach: first fetching email metadata only, then AI-prefiltering on metadata to find invoice candidates, and finally analyzing body text and attachments only for those candidates
- Uses AI to prefilter emails by metadata, classify invoice candidates, and extract invoice information from email content and attachments (see our Privacy Policy for details on each phase)
- Forwards those invoices to your designated accountant or email address
- Operates when you initiate a scan, detecting invoice emails from your configured date range
- Optionally operates in real time via webhooks—when enabled, incoming emails matching your configured vendor rules are automatically classified and forwarded to your accountant without requiring a manual scan
2. Account & Eligibility
By using Expensent, you agree that:
- You are at least 18 years old
- You have the authority to grant access to the email account you connect
- The email account is owned by you or you have explicit permission from the owner to use this service
- You will provide accurate information about your accountant or recipient email address
- You are responsible for maintaining the security of your account
3. Subscription & Billing
Expensent operates on a subscription model:
- Subscriptions are billed monthly through Stripe, our payment processor
- Plans vary in feature limits—see our pricing page for current tiers and details
- Prices are displayed in your local currency when available
- Your subscription automatically renews unless cancelled before the renewal date
- Cancellation takes effect at the end of the current billing period
- No refunds are provided for partial billing periods, except where required by law (including EU consumer protection rights)
- We reserve the right to change pricing with 30 days' notice
EU Right of Withdrawal
If you are a consumer in the European Union, you have a 14-day right of withdrawal for digital services under Directive 2011/83/EU. By subscribing and using the service, you consent to immediate performance and acknowledge that the right of withdrawal is waived once the service has been actively used (Art. 16(m)). If you have not actively used the service within 14 days, you may request a full refund by contacting hello@expensent.com.
4. Referral Program
Expensent offers a referral program where you can earn free subscription months:
- You receive 1 month free for each friend who subscribes using your referral link
- Referral credits are applied to your next billing cycle
- Abuse of the referral program may result in forfeiture of credits and account termination
- We reserve the right to modify or discontinue the referral program at any time
5. Acceptable Use
You agree NOT to:
- Use the service for any illegal purposes or to violate any laws
- Attempt to gain unauthorized access to other users' accounts
- Use the service to send spam, phishing, or other unsolicited communications
- Reverse engineer, decompile, or attempt to extract source code
- Use automated systems to abuse the service beyond normal usage
- Share your account credentials or access with third parties
6. Service Availability & Limitations
We strive to provide reliable service, but:
- The service is provided "as is" without warranties of any kind
- We do not guarantee 100% detection of all invoice emails
- We are not responsible for emails that fail to forward due to email provider limitations
- Planned maintenance may temporarily interrupt service with advance notice when possible
- We reserve the right to modify, suspend, or discontinue features at any time
7. Limitation of Liability
To the maximum extent permitted by law, Expensent and its operators shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount you paid for the service in the 12 months preceding the claim. This includes, but is not limited to, missed invoices, delayed forwarding, or any financial consequences related to tax compliance.
8. Termination
Either party may terminate this agreement at any time:
- You may cancel your subscription through your account settings
- We may terminate accounts that violate these terms
- Upon termination, your email access is immediately revoked
- We will delete your data in accordance with our privacy policy
9. Changes to Terms
We may update these terms from time to time. We will notify you of any material changes by email and/or by posting a notice on our website. Your continued use of the service after changes become effective constitutes acceptance of the updated terms. We encourage you to review these terms periodically.
10. Governing Law & Disputes
These terms shall be governed by and construed in accordance with the laws of Portugal. EU consumers retain any mandatory consumer protection rights afforded by the laws of their country of residence.
Any disputes arising from these terms or your use of the service shall first be resolved through good faith negotiation. If a resolution cannot be reached, disputes shall be submitted to the competent courts of Portugal. EU consumers may alternatively bring proceedings in the courts of their country of residence in accordance with EU Regulation 1215/2012.
EU consumers may also use the European Commission's Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr (per EU Regulation 524/2013).
